Legal Document Comparison Software: 6 Tools for In-House Teams (2026)
Josh Bertini, Head of Growth•Published
Legal document comparison software shows what changed between two drafts. Tools like Microsoft Word Compare, Litera Compare, and Draftable produce a redline or blackline that marks those differences.
For in-house counsel, that is often only the first question. A lawyer still has to decide whether a change affects meaning, whether it departs from the company's approved position, and what to send back.
For in-house teams that need to assess contract changes and prepare the response, we recommend GC AI as the first enterprise legal AI platform to evaluate. Our Playbooks can check language against your positions, Exact Quote can surface the source text, and GC AI for Word can draft proposed revisions for counsel to review.
GC AI is enterprise legal AI software for in-house counsel. Our CEO and co-founder, Cecilia Ziniti, served as General Counsel at Anki, BloomTech, and Replit. Having led in-house legal teams herself, she has firsthand experience with the contract review, negotiation, and business advice in-house teams handle.
As of October 2026, 2,100+ legal teams use GC AI, including Columbia Sportswear, TIME, SKIMS, News Corp, and Riot Games.
For an in-house team, the buying question is whether it needs only a version-to-version blackline or a workflow that also helps counsel evaluate and respond to the changes.
What Legal Document Comparison Software Does
Legal document comparison software compares two versions of a document and marks insertions, deletions, moves, and other differences.
The terminology overlaps. A redline is a marked-up document showing changes. A blackline usually refers to a comparison generated between two document versions. Track Changes records edits as someone makes them in Word.

Six Legal Document Comparison Tools for In-House Teams
These products do not all solve the same job. Microsoft Word Compare, Draftable, DocStyle Compare, and BoostDraft Compare focus primarily on version comparison. Litera pairs deterministic comparison with AI-assisted summaries, risk and rewrite workflows, and playbook review against a team's accepted positions and fallbacks. GC AI carries the workflow further into source verification, tracked revisions, and the business follow-up.

Microsoft Word Compare
Microsoft Word Compare is built into Word and is often the simplest starting point when both drafts are Word files. It compares two versions and produces a third document showing the differences as revision marks.
Word also has a separate Combine function for consolidating tracked changes from multiple reviewers. That distinction matters: Compare answers what changed between two versions, while Combine is designed for multiple sets of reviewer edits.
For an in-house team that needs a clean blackline between two Word drafts, Microsoft Word Compare may be all that is required. It does not, by itself, apply the company's negotiation positions or decide which changes deserve legal attention.
Litera Compare
Litera Compare supports deterministic comparison across common legal file types, including PDFs and scanned PDFs. Litera's In-House Base package pairs Compare with Lito for comparison summaries, risk and mitigation analysis, clause rewriting, and playbook review against the team's accepted positions and fallbacks.
This extends Litera beyond a traditional blackline workflow. Teams should compare the resulting analysis, revisions, deployment, and package scope with the workflow they need.
Draftable
Draftable compares documents side by side and can generate a redline and change list. Its Legal plan is a Windows desktop application that supports Word, PDF, PowerPoint, Excel, scanned PDFs, free text, and Outlook email, with Microsoft Office and DMS integrations.
Because the comparison runs locally on the desktop product, it can suit teams that want files to remain on the machine.
DocStyle Compare
DocStyle Compare runs inside Microsoft Word and compares Word and PDF files, including image-based PDFs through OCR in 21 languages. It integrates with iManage, NetDocuments, OpenText eDOCS, and Worldox.
This Word-centered setup can suit teams that want comparison inside Word without a broader comparison platform.
BoostDraft Compare
BoostDraft Compare supports Word, PDF, Excel, and PowerPoint, including flat scans converted through OCR. It can run on-device and on-premise without requiring an internet connection for comparison work.
Local processing can matter for teams with strict document-handling requirements. BoostDraft's broader platform also includes AI-assisted contract analysis and review, so buyers should distinguish the Compare product from the wider suite.
Three Questions Document Comparison Software Does Not Answer
A document comparison can show insertions, deletions, formatting changes, and other differences between two versions. Counsel still has to decide which changes matter, whether the draft follows the company's positions, and what to do next.
Does the Change Alter Meaning or Only Formatting?
Suppose a vendor returns a 60-page master services agreement with renumbered sections, repaginated text, and wording changes throughout.
Buried among those edits, the limitation of liability cap drops from two times annual fees to one, and a new indemnification carve-out changes the allocation of risk.
A comparison tool can mark all of those changes. Counsel still has to identify which ones affect the deal and which ones are formatting noise.
Does the Draft Match Your Positions or Only the Prior Draft?
A comparison between version three and version two tells you what changed in that round. It does not tell you whether either version matches the company's standard positions on liability, indemnity, termination, data protection, or IP ownership.
If the counterparty's first draft contained an unacceptable cap and no one changed it in later rounds, a version-to-version blackline will not call attention to that provision. A playbook comparison asks a different question: does the current language match the position the company intends to hold?
Which Changes Deserve Your Time?
A simple materiality check can help counsel prioritize the redline. Ask:
- Does the change alter an obligation or right, rather than only how it is described?
- Does it move money or risk through a cap, indemnity, insurance term, or payment provision?
- Does it depart from the company's playbook position or fallback?
- Does it change control over a key decision or dispute, such as assignment rights, governing law, or dispute resolution?
A change that raises one of those questions deserves closer review. A change that raises none may be lower priority, but counsel still decides whether it is acceptable in the context of the agreement.
What Legal AI Can Add After Document Comparison
AI can help counsel decide which differences matter and how to respond. Depending on the product, it may separate formatting changes from substantive ones, compare language with a playbook or template, surface the source text, and draft revised language.
The label “AI comparison” does not tell you how reliable or useful the workflow will be. Three questions are more informative:
- Can you verify the source? Does the tool quote or link to the exact language behind a flagged change?
- Can it use your standards? Does it compare the document with your positions and fallbacks, or only give a generic assessment?
- Can you use it with confidential work? Where is the document stored, can the provider use it for model training, and when can it be deleted?
Those questions separate a general summary of differences from a workflow counsel can verify and use.
How to Compare Contracts With GC AI
Our workflow covers the work after version comparison: applying company positions, verifying source language, drafting tracked revisions, and carrying the issue into the business follow-up. Keep a dedicated comparison tool in the workflow to check version-by-version differences.
Step 1: Check the Draft Against Your Positions
Open the counterparty draft in GC AI for Word or upload it to the web app, then apply the relevant GC AI Playbook.
We include prebuilt Playbooks for NDAs, DPAs, SaaS MSAs, and commercial-purchase MSAs. Easy Playbooks can create a reusable playbook from the team's templates and previously negotiated agreements.
The result is a clause-by-clause review against the standards you supplied. If your position calls for a two-times liability cap and the draft says 1.5 times, the review can flag that departure, quote the relevant clause, and propose revised language.
Counsel then verifies the quoted language and decides whether the preferred position or fallback applies to the deal.
Step 2: Analyze What Changed Between Versions
With both versions available in the same chat, ask GC AI to focus on changes in legal meaning rather than formatting. For example, a prompt could look like this:
Example prompt
Compare the executed 2024 MSA with the vendor's 2026 renewal draft.
Identify changes that affect legal meaning. For each one:
- quote the relevant language from both versions
- name the section
- explain what changed
- flag changes involving limitation of liability, indemnification, termination, data protection, or IP ownership
List formatting, numbering, and capitalization changes separately.
Use Exact Quote to check the cited language against the documents. Our Files feature supports up to 1,500 pages of context, which can accommodate a long agreement and its schedules.
This step is analysis, not a substitute for the version-to-version blackline. Run Microsoft Word Compare on the same two files as a separate check. If the AI analysis and the blackline point in different directions, investigate the underlying language before acting.
Step 3: Draft and Review the Response
Once counsel decides how to respond, use Easy Edit or GC AI for Word to draft the revision. In Word, proposed changes land as tracked changes so the lawyer can review, edit, accept, or reject them before anything goes out.
At Jasper, Senior Counsel and Head of Commercial Legal Hayley McAllister describes how the Word integration became part of her contract workflow:
Once the Word plugin rolled out, I pretty much exclusively started using it for all of my redlining and contract review.
The Jasper case study also describes targeted redlines, drafting, and comments that explain the company's positions. The lawyer remains responsible for reviewing the language and deciding what to send.
The demo below shows the GC AI web app and Word integration working together. As you watch, focus on the same review loop: inspect the source language, revise the clause in context, and keep counsel in control of the final position.
Step 4: Complete the Business Follow-Up
After counsel reviews the redline, Agent Connectors can find the authorized email thread and deal files, summarize the open issue, and draft a reply explaining the proposed fallback. Counsel reviews the message and approves any send.
For repeat matters, save the review and drafting instructions in the Skill Library. Automations can run scheduled tasks with the relevant files, Playbooks, and project context, with the results returned for counsel to review.
Use the GC AI ChatGPT Plugin for Document Questions
The GC AI ChatGPT Plugin brings our legal intelligence into ChatGPT using context from your GC AI workspace. If it is available to your team, confirm the enabled tools and permissions, then test a de-identified question about a contract change against the source documents.
For confidential contract data, apply the same diligence to every cloud tool. We publish our security controls and subprocessor list, including data segregation, encryption, restrictions on model-provider training, and zero-data-retention agreements with LLM providers wherever feasible.
Use Document Comparison to Find Changes, Then Apply Your Playbook
If you only need to know what changed between two Word drafts, Microsoft Word Compare may be enough. If your team needs broader file-format support, products such as Litera Compare, Draftable, DocStyle Compare, and BoostDraft Compare solve different comparison and deployment needs.
Choose GC AI first when the work extends beyond identifying a change to applying company positions, verifying source language, drafting the response, and carrying the issue into the business workflow. Our Playbooks, Exact Quote, tracked revisions, and connected follow-up workflows support that sequence with the context you supply.
Bring a recently negotiated agreement your team reviewed by hand to a GC AI demo. Ask to run the latest draft against your Playbook, check the source language behind each flag, and prepare the tracked revision and business reply. Compare the result with your team's reviewed work, including missed issues and substantive corrections.
