How to Find Current Contract Terms After Amendments With AI
Caitlin PricePublished
To find current contract terms after amendments, use legal AI to read the agreement and its changes together, trace the terms to their source provisions, and explain which version applies to the transaction you are reviewing. A September invoice might carry a 45-day payment period even when an amendment already on file changes future invoices to 60 days.
GC AI is an enterprise legal AI software built for in-house counsel, used by 2,200+ legal teams including 300+ public companies. It supports legal research, drafting, contract review, and analysis of company documents.
Co-founder and CEO Cecilia Ziniti began shaping GC AI around problems she encountered while teaching lawyers to use ChatGPT. She taught classes in the morning, then brought product requirements to her co-founder in the afternoon: accurate citations, document passages that supported the answer, and language suited to legal work.
Our software [for in-house counsel] needs to provide accurate citations.
That requirement matters when you need to explain which contract terms remain in force. GC AI's Contract Intelligence links related agreements and rolls up Current Terms across the family. You can follow the supporting passages while checking how an amendment changes an obligation or leaves it intact.
Watch the Contract Intelligence demo, then follow the worked example below to trace a payment term through two amendments.
How to Find Current Contract Terms in GC AI
Start with one contract family your team knows well. Give GC AI the agreement, its amendments, and a specific business question, then compare the proposed answer with the passages that determine which terms apply.
- Create a Vault and choose extraction Columns.
- Confirm the linked contract family.
- Ask which terms apply to the specified transaction.
- Check the sources and investigate conflicts.
- Save counsel's conclusion for the business.
This fictional teaching example uses invented contract excerpts and a proposed review record. We have not tested the example or prompts in GC AI. Assume counsel has confirmed the parties, authority, required formalities, and completeness of the initial three-document set.
Create a Vault for the Agreement and Its Amendments
Open Contract Intelligence and select Create Vault. Use the guided chat to name the Vault, upload supported files or connect a supported source, and describe the review. GC AI drafts extraction Columns for you to review and adjust. The setup guide covers these steps.
For this example, the business question is: What payment period applies to an invoice received on September 15, 2026, and what termination-notice period remains in force?
Include the named entities, services, and applicable order when adapting that question to your documents. Ask finance to confirm the invoice-receipt date if the payment clause uses receipt as its trigger. An invoice's issue date may answer a different question.
Keep the master services agreement (MSA) and related documents in the same Vault. Collect incorporated schedules and relevant orders alongside the amendments so the review covers the provisions that could affect the answer.
Choose Columns That Preserve Dates and Clause Language
Review the proposed Columns against the question. For this exercise, request the execution date, stated effective date, payment language, payment application trigger, termination-notice language, and provisions each amendment changes.
Keep payment duration and its application trigger distinct. You need to see both “60 days” and “invoices received on or after October 1.”
These are the fictional provisions to trace:
| Source | Relevant Illustrative Text | Change to Track |
|---|---|---|
| MSA, effective Jan. 1, 2026 | §4.1: "Customer shall pay each invoice within 30 days after receipt." §8.2: "Either party may terminate this Agreement for convenience on 60 days' prior written notice." | The original payment period and termination-notice period. |
| Amendment 1, signed Feb. 20, effective March 1, 2026 | §1: "For invoices received on or after March 1, 2026, Section 4.1 is replaced as follows: Customer shall pay each invoice within 45 days after receipt." §2: "All other provisions of the MSA remain unchanged." | Payment changes for the specified invoices. Section 8.2 remains unchanged. |
| Amendment 2, signed Aug. 20, effective Oct. 1, 2026 | §1: "For invoices received on or after October 1, 2026, Section 4.1, as amended, is replaced as follows: Customer shall pay each invoice within 60 days after receipt." §2: "Except for this change, the MSA, as amended, remains unchanged." | A future payment change applies to invoices received from Oct. 1. |
Check whether the extracted language preserves each amendment's scope. Amendment 1 replaces the payment provision and preserves the other terms. Amendment 2 changes payment for a later group of invoices. A summary that gives only the most recent payment duration loses the distinction counsel needs.
For other amendment chains, ask GC AI to identify additions, deletions, exceptions, definition changes, and any reinstatement of earlier language. Check cross-references and supersession language in an amended and restated agreement, including preserved rights or obligations.
Confirm the Contract Family
Allow relationship mapping to finish after the document rows populate. In Related Documents, inspect the family timeline. GC AI creates high-confidence links and offers other relationships as suggestions you can confirm or dismiss.
Check each link against the document's reference to the underlying agreement, its parties, and its scope. An amendment covering one service or subsidiary may have limited relevance to the invoice under review.
Follow references to missing exhibits and online terms. A hosted document marked “not in this vault” remains outside the analysis until you add a copy. Preserve the applicable version and evidence of any update or acceptance process.
Counsel should also review the agreement's amendment requirements, including signatures, authority, and any separate process for orders or schedules. Assess their effect under the governing law.
Ask Which Terms Apply to the Specified Invoice
Open Current Terms to inspect the family's in-force values after amendments. For a question tied to a particular date or event, request a separate analysis in the Vault's chat sidebar.
Adapt this untested example prompt:
Review this MSA and its two amendments for an invoice received on September 15, 2026. Identify the payment period that applies and the termination-notice period that remains in force.
For each answer, show the original provision, every relevant change, and the date or event that makes the change apply. Cite the supporting passages, including language preserving unchanged provisions. Explain how Amendment 2 affects the September 15 answer and an invoice received on October 1. Identify missing documents, conflicting readings, and unresolved questions.
The requested output should distinguish the signature date, effective date, and application trigger. In this example, Amendment 2's August signature precedes its October payment change. Check the dated analysis against that language even if Current Terms shows a plausible payment value.
Verify the Answer Against the Source Passages
Click an extracted value and select View source to open the document at the highlighted passage. You can correct an extracted value after checking it.
Then review the reasoning across the cited provisions. An accurate quotation establishes what a passage says; counsel still determines how that passage interacts with the rest of the agreement.
For the fictional three-document set, the proposed review record is:
| Question | Answer for the Stated Scope | Evidence and Reason |
|---|---|---|
| Payment period for the Sept. 15 invoice | 45 days after receipt. | Amendment 1 §1 replaces MSA §4.1 for invoices received from March 1. Amendment 2 §1 applies from Oct. 1. |
| Termination-notice period | 60 days' prior written notice. | MSA §8.2; Amendment 1 §2 and Amendment 2 §2 preserve the other provisions. |
| Payment period for an invoice received Oct. 1 | 60 days after receipt. | Amendment 2 §1 supplies the new period and its application trigger. |
Check the unchanged termination provision as carefully as the payment amendment. Before calculating a due date or preparing a notice, review any additional time-computation, receipt, and notice-delivery provisions in the complete agreement.
Investigate Conflicting Terms With a Follow-Up Question
Now add a fictional statement of work (SOW) covering the September 15 invoice. Its payment clause says, “Invoices are payable within 15 days.” Its precedence clause says, “If this SOW conflicts with the MSA, this SOW controls.” The MSA says, “If this Agreement conflicts with any SOW, this Agreement controls.”
Add the SOW to the reviewed set, check its relationship to the MSA, and ask GC AI to revisit the payment analysis. This untested follow-up prompt specifies the investigation:
Compare the SOW's 15-day payment provision with the MSA as amended. Quote both precedence provisions. Present the competing readings, identify the documents and facts relevant to resolving them, and explain which parts of the earlier answer require further review.
Counsel must reconcile the competing order-of-precedence provisions, incorporation language, amendment requirements, and governing law. Keep the payment conclusion unresolved while that analysis remains open. Preserve the supported termination conclusion unless the SOW also affects it.
Save Counsel's Conclusion for the Business
Keep the reviewed answer, scope, citations, reviewer, review date, and open questions in the authorized matter record. Vault Columns extract document content; internal approval status and reviewer notes belong outside those Columns.
Give finance the applicable payment period and its invoice trigger. If the SOW conflict remains open, identify the decision or evidence counsel needs before finance acts. Assign an owner to obtain missing material and revisit the affected answer when it arrives.
Bring a familiar amendment chain and counsel's reference answer to a GC AI demo. Ask to trace a changed term, verify a provision that remains unchanged, and inspect the sources behind the proposed answer.
