A general counsel is the senior lawyer responsible for a company’s legal function. The role combines legal advice, risk judgment, business partnership, and responsibility for the department’s people, budget, outside counsel, and standards. The scope changes with company size, business model, and legal risk. The balance changes with the organization. A GC at a growing company may draft and negotiate agreements personally while building the department. A GC at a larger company may spend more time on executive counsel, board support, team leadership, major transactions, and enterprise risk.

The best metrics depend on the company’s stage and risk profile. A board-facing scorecard may emphasize enterprise risk and major transactions. A lean team may focus on response time, outside counsel spend, and the amount of routine work that reaches senior lawyers.

An associate general counsel carries a defined part of the legal portfolio. That may include commercial work, employment, privacy, litigation, corporate governance, or a regional remit. The title signals a senior in-house lawyer with meaningful ownership; the org chart determines the exact authority.

What Is the Career Path to General Counsel?

There is no single route to the general counsel seat. Common paths include private-practice training followed by in-house counsel roles, or progression through counsel, senior counsel, associate general counsel, deputy general counsel, and legal leadership positions.

The durable skills are broader than legal doctrine:

  • Build depth in a business area and learn how the company makes money.

  • Own work that crosses functions, such as a product launch, acquisition, financing, privacy program, or major contract process.

How Is AI Changing the General Counsel Job?

AI changes the GC role at three levels: the work mix, the oversight standard, and the way the team is designed.

AI can handle structured first passes across contract review, legal research, document summaries, issue spotting, and internal drafting. The GC’s responsibility shifts toward selecting the right workflow, setting the source and review standard, and deciding where a lawyer’s judgment must remain central.

AI Raises the Oversight Standard

A GC evaluating AI needs a working answer to five questions:

  1. What source material can the system use?

  2. How does the team see and verify the source behind an answer?

  3. Which outputs require attorney review before they reach the business?

  4. Where do confidentiality, privilege, or data-handling limits apply?

  5. Who owns the workflow, the standard, and the escalation path?
