Test the Work Counsel Must Approve

Consider this hypothetical pilot: procurement needs approval for a supplier renewal. The file set contains the signed master services agreement, an amendment changing the liability cap, and the supplier’s new renewal draft. An index also lists a second amendment that procurement has not supplied.

Counsel provides the company’s preferred liability position, permitted fallback, exception approver, and business deadline as separate instructions. Those instructions come from the company; the software should not infer them from contract language.
