ChatGPT for Lawyers: Why Legal Accuracy Matters

ChatGPT for lawyers can help draft text, summarize documents, and organize supplied material. For substantive in-house work, a useful answer also needs legal authority, exact contract language, and the company's approved positions.

OpenAI acknowledges that ChatGPT can fabricate citations and sources, even when the answer sounds confident. Lawyers need to establish which authority supports a conclusion and whether the quoted language says what the answer claims.

Why ChatGPT Citations Need Scrutiny

A case name, reporter citation, and quotation can look credible while referring to an authority that does not exist. In Mata v. Avianca, the court sanctioned lawyers and their firm after they submitted nonexistent opinions and fake citations generated by ChatGPT.

The June 22, 2023 decision illustrates the consequence of submitting authorities that counsel had not verified.

ChatGPT's Search and Deep Research features can provide cited answers, as OpenAI explains. A link gives counsel a source to inspect; it does not establish that the source supports the legal proposition.

OpenAI's Astra for Law adds a Legal Search Index and instructions for legal analysis and writing to GPT-6 Astra. The index covers U.S. cases, statutes, regulations, court rules, and administrative decisions. Initial access is for selected U.S. law firms through Trusted Access in ChatGPT and Codex.

Check that an authority governs the jurisdiction, supports the proposition, and remains applicable at the relevant date. The research workflow below makes those source checks part of producing the advice.

GC AI's May 2026 In-House Legal Bench evaluated 100 in-house legal tasks against more than 1,200 attorney-developed answer-key criteria. GC AI scored 86.8% overall, compared with 79.8% for ChatGPT GPT-5.5, a 7.0 percentage-point difference.

These percentages measure passed criteria. Some tasks belong to multiple categories; the study used an LLM judge and manual validation of a subset.

Can ChatGPT Review a Contract?

Yes. ChatGPT can summarize an uploaded agreement, flag possible issues, and propose language; OpenAI's File Uploads FAQ describes document comparison and applying a supplied framework.

For an in-house team, the question is whether the first pass covers the agreement and reflects the positions the company has authorized. Assess the output against four checks:

  • Source language: Does the quotation match the agreement, including its qualifications?

  • Company positions: Does the recommendation follow the company's preferred or fallback position?

  • Document integrity: Do defined terms and cross-references still work after the revision?

  • Missing provisions: Has the review identified required provisions that are absent?

A Worked NDA Review

This illustrative workflow takes an incoming mutual NDA from company context to a reviewed redline:

  1. Supply the context: Use an NDA your team is authorized to process, your company's role, the disclosure purpose, and its approved NDA Playbook. Identify whose paper it is and any negotiating constraints.

    Review this mutual NDA against our approved NDA Playbook. For each issue, identify the section, exact agreement language, applicable Playbook position, and proposed next step. Identify required provisions that are absent. Flag missing instructions for counsel's decision. Do not propose a market standard or company position we have not supplied.
    
  2. Inspect the findings: Our Playbook review classifies checks as Pass, Fallback, or Flag and identifies issues outside the playbook and terms requiring escalation. Open the quoted clauses, assess related provisions, and resolve missing instructions with the authorized approver.

  3. Review the edits: In Word or Easy Edit, inspect the proposed language and accept, revise, or reject it. Check defined terms and cross-references, then send the reviewed redline through your company's negotiation process.

  4. Close the loop: Compare the counterparty's next draft with the reviewed version, confirm agreed changes and approvals, and keep the final document and decision record. Update approved playbook positions deliberately for future reviews.

Confidential agreements and internal legal analysis require a review of the service's controls and terms. Training restrictions are one part of that assessment; retention and access also matter.

Review the subprocessor list alongside the GC AI Trust Center to assess third-party processing and supporting security materials. The list separates zero-data-retention subprocessors from other providers and includes model-specific conditions. Assess provider retention terms separately from storage of work in the platform.

ChatGPT also has business protections. OpenAI's Enterprise Privacy documentation excludes Business and Enterprise inputs and outputs from model training by default and describes administrator-controlled retention for both services. No-training terms do not mean zero retention; review the applicable deletion exceptions and workspace access.

For eligible law firms, OpenAI says its Astra for Law offering excludes ChatGPT Enterprise usage from human review by default and lists zero-data-retention for API usage. Astra for Law API access is still described as forthcoming. Confirm which terms and controls apply to the services your team will use.

Consumer ChatGPT content may be used to improve models depending on data-control settings.

Evaluate the data-handling terms alongside the research and document workflow your lawyers will actually use.

What Can Lawyers Use ChatGPT For?

ChatGPT can help with bounded preparation using approved material. Examples include:

  • Memo editing: Shorten a supplied memo while preserving its qualifications.

  • Business communication: Rephrase a policy explanation for the intended audience.

  • Fact organization: Organize known facts into an outline without adding unsupported facts.

  • Meeting preparation: Prepare questions for an outside counsel discussion.

The lawyer should compare the result with the source and resolve omissions or unsupported additions.

ABA Formal Opinion 512, issued July 29, 2024, addresses lawyers' obligations when using generative AI. These include competence and confidentiality, alongside duties concerning communication, supervision, court submissions, and reasonable fees.
