Healthcare Contract Management Software: Choosing the Right Tools for Review, Tracking, and Approvals
By Caitlin Price, Social Media & Content Marketer•Published
Healthcare contract management software helps legal and operations teams review agreements, analyze contract terms, and manage approvals and renewals, depending on the product. For healthcare counsel and legal ops, the buying decision starts with the work you need to improve: clause review, portfolio analysis, or contract lifecycle management (CLM). Test that work on a permitted sample before choosing a product.
GC AI is our legal intelligence platform built for in-house counsel. As of October 2026, 2,100+ legal teams from solo GCs to Fortune 500 companies across 45+ countries use GC AI. Customers include Helix, SimplePractice, and Inflammatix.
Use the tests below to decide whether your team needs review and analysis capabilities, a broader CLM, or a combination.
On CZ and Friends, Cecilia Ziniti, GC AI CEO and a three-time general counsel, talks with legal and business leaders about scaling companies, leading teams, and putting AI to work. In a healthcare episode, our customer Ali Hartley, Chief Legal Officer at SimplePractice, described how SimplePractice approaches AI decisions through trust:
Our company needs to be trusted by our customers and by their patients, first and foremost.
Her company sorts AI use cases by task and data type, and work involving protected health information (PHI) triggers additional vendor requirements.
For a GC AI evaluation, apply the same principle: use a file your account terms permit, give the system your team's approved review instructions, and have counsel inspect the proposed changes.
The sample business associate agreement (BAA) example below shows that workflow.
Choose the Contract Capability You Need
Some products span more than one workflow. Require each vendor to demonstrate the specific combination your team needs. Use this table to define the demonstration before the vendor chooses the example.
| Team's need | Capability to evaluate | Output to request | What counsel should verify |
|---|---|---|---|
| Review a vendor agreement or BAA | Contract review | A cited issue list and proposed revisions against approved positions | The finding cites the operative clause, applies the right standard, and leaves approval with counsel |
| Compare payer or provider agreements and amendments | Contract intelligence or portfolio analysis | A table of selected terms across the relevant agreements and amendments | Each value comes from the operative agreement and missing documents or changed terms are visible |
| Coordinate a research agreement | Contract review and obligation analysis | A list of obligations, dates, owners, and unresolved questions | The analysis uses the complete agreement and relevant attachments, and legal, privacy, finance, and research owners know their next steps |
| Route new contract requests | CLM workflow | A demonstrated intake, approval, and signature sequence | Roles, access, handoffs, and records work in the version and package the team would buy |
| Track renewal or notice dates after signature | CLM or post-signature management | An owner-and-date view linked to the agreement | The system shows who updates the record after an amendment and which system sends the reminder or records the follow-up |
If your team needs payer reimbursement auditing or physician credentialing, add a separate operational test. Reviewing contract terms and checking payments or credentials require different inputs and outputs. Ask the revenue-cycle or credentialing owner to demonstrate the required connections using synthetic records, and confirm which quoted module performs the work.
When evaluating healthcare contract-management products, do not assume that strength in one workflow proves the others. A clause-review demo does not show that approval or signature routing works, and a repository does not show that the product can analyze contract language the way your lawyers need.
- Follow the matter after legal review. Confirm who approves, who sends it for signature, where the executed agreement goes, and who owns the next deadline.
- Use a permitted sample set to test how related agreements and amendments migrate, which metadata carries over, role-based access, and exports.
- Ask the vendor to demonstrate any required EHR, billing, or credentialing connection in the version and package included in the quote.
- Ask each shortlisted vendor to quote the same user count, document volume, required workflows, integrations, and implementation scope. Separate recurring charges, one-time costs, and the internal work required to maintain the system. If your team has a CLM, compare adding the missing review or analysis capability with replacing the lifecycle system only when your requirements justify replacement.
How to Evaluate Healthcare Contract Management Software
Make the demonstrations comparable before you score them. For each finalist, record the required task, expected output, observed result, quoted module, manual handoff, owner, and whether the requirement passed, failed, or was not demonstrated.
For a BAA first-pass review, ask every finalist for the same cited issue list and proposed revisions. Score each result against the same lawyer-approved answer key.
Test Healthcare Contract Review
Build a synthetic agreement with issues your lawyers know how to assess. Use it to compare products without uploading patient information.
- Select an agreement that reflects the work: a BAA, payer or provider agreement, physician agreement, vendor MSA, or research agreement.
- Include the agreement, incorporated attachments, and relevant amendments. Identify missing documents before assessing current terms.
- Supply your required provisions, preferred positions, permitted fallbacks, escalation triggers, and business owner. Keep review instructions separate from the contract evidence.
- Specify the output: a redline, cited issue list, or obligation table.
- Before the demo, list the issues the product must catch, the unsupported conclusions you will reject, and the evidence counsel needs to verify each finding.
For example, create a synthetic business associate agreement (BAA) with three known issues: a breach-notice period that conflicts with your approved position, a defined term that conflicts with an attachment, and one fact the contract does not answer.
Provide the agreement, attachment, and review standard. Request a table with the source language, applicable standard, proposed revision, and decision-maker. Check each finding against your answer key, including whether the tool leaves the missing fact unresolved.
Record missed issues, incorrect findings, and unsupported answers separately. Keep missed required issues visible even when most findings are correct.
Compare preparation, lawyer review, correction, and handoff time with your current process. Before expanding the rollout, evaluate a different permitted agreement using the same criteria.
Compare Terms Across a Healthcare Contract Portfolio
Use GC AI's Contract Intelligence to compare terms across a permitted set of agreements. A Vault holds the documents, Columns define the terms to extract, and saved Views organize the results. For the illustrative contract family below, have counsel confirm the links in Related Documents and check the cited provisions in Current Terms. Leave the missing attachment unresolved until someone obtains and reviews it.
Illustrative contract-family output
| Contract-family item | Operative source or value | Reviewed status |
|---|---|---|
| Original agreement | Section 12: 60-day notice requirement | Superseded by the signed amendment |
| Signed amendment | Section 3: 90-day notice requirement | Current notice requirement after counsel verifies the amendment and contract family |
| Incorporated attachment | Missing from the sample set | Unresolved: obtain and review it for any additional notice condition |
Test Healthcare CLM From Intake Through Follow-Up
Run one synthetic contract request through intake, approval, signature, storage, and the next deadline. Check who can access it, how teams hand it off, where the executed agreement goes, and who owns follow-up.
Then test an exception: make an approver unavailable or remove a user's permission, and add an amendment that changes the notice date. Ask the vendor to reroute the request and export a record of who acted, when, which agreement supports the new deadline, and who owns follow-up. Evaluate these lifecycle functions in the CLM package you would buy.
Verify PHI and BAA Terms Before Uploading Healthcare Contracts
Before uploading company healthcare material, check the contract that governs the account. Our current Services Agreement, version 10.0 dated September 24, 2026, applies to self-serve purchases and individual plans. Section 3.3.9 prohibits providing personally identifiable health data. Order-form customers may have different terms.
Our Data Processing Agreement (DPA) and the public materials cited here do not establish a general BAA or blanket permission to process PHI. HHS cloud guidance requires a BAA and compliance with applicable HIPAA duties when a cloud provider handles electronic protected health information (ePHI) on a covered entity's or business associate's behalf. Confirm the terms and configuration for your account.
An agreement can address HIPAA duties without containing PHI; attachments, patient details, and incident descriptions can change that. Use synthetic documents for the pilot. Before moving to real files, have legal and security owners confirm the permitted data, enabled features, access, retention, and approved models.
How GC AI Supports Healthcare Contract Review and Analysis
Use GC AI for the review and portfolio-analysis tasks your pilot validates. Evaluate approval routing, signatures, and ongoing contract administration in the lifecycle system your team plans to use.
For permitted files, our healthcare contract workflows cover review and summarization of BAAs, payer and provider agreements, physician contracts, vendor contracts, and research agreements.
Open the synthetic BAA in GC AI for Word, our Microsoft Word integration. Ask for proposed changes to the notice clause, using your approved notice period as the instruction. Have counsel inspect the redline before accepting it.
Use Contract Intelligence when the question spans a portfolio. In either case, counsel should verify the cited language, proposed revisions, or extracted terms before acting.
At Helix, a healthcare technology company, KT Farley, Chief Privacy Officer and Associate General Counsel, described how reusable prompts changed standard review work:
The ability to create and store reusable prompts and share them across the team has completely changed the work required to review standard work.
Farley says junior teammates now run the checklist first and bring her the output for review. Her story also identifies our Skill Library as a favorite feature.
Skills let your team reuse approved review instructions on the next matter. Assign a lawyer to maintain the checklist and approve changes. Add newly approved fallbacks to the shared guidance, and keep deal-specific exceptions with the matter.
Choose the Right Workflow, Then Test GC AI
Bring your synthetic BAA and review checklist to a GC AI demo. Ask to follow a finding from the cited clause to the proposed revision and the lawyer's decision. Use the answer key to assess the legal output, then confirm how your team will hand the reviewed agreement to the people responsible for approval and signature.
