Contract Abstraction and Data Extraction for In-House Teams
By Caitlin Price, Social Media & Content Marketer•Published
Contract abstraction turns an agreement into defined fields: the parties, dates, payments, rights, and obligations your team needs to use. Contract data extraction finds the values in the documents. A useful abstract connects each value to its source and keeps unresolved questions visible.
For in-house counsel, this matters during a renewal review. A spreadsheet says “60 days,” but the business still needs to know who must receive notice, how it must arrive, and which term-end date starts the calculation. Capture those details together so another lawyer can check the answer without rereading the entire agreement.
GC AI is enterprise legal AI software for in-house legal teams. As of October 2026, 2,100+ legal teams across 45+ countries use GC AI. Our “Trusted by Legal Teams and Companies” roster includes Riot Games, SKIMS, Lockheed Martin, and Bass Pro Shops.
Counsel can use GC AI to analyze legal documents and check answers against cited sources. Our Contract Intelligence brings that work to a set of contracts: you define the terms to extract, review cited values in a table, and ask questions across a document collection called a Vault. The workflow below combines that extraction with a field dictionary and lawyer review.
Key Fields for Contract Abstraction
Start with the business question. A vendor-renewal review needs dates, notice requirements, spend, and exit rights. An acquisition may require assignment, change of control, and consent fields. Add a field when it changes a decision, deadline, approval, or risk review.
| Field Group | Capture | Check Before Using It |
|---|---|---|
| Identity | Legal parties, roles, agreement type, and source ID | A trading name or filename may differ from the contracting entity. |
| Dates and Renewal | Effective date, initial term, term end, renewal period, and non-renewal notice | Keep the notice period, delivery rule, and calculated deadline in separate fields. |
| Termination | Who can terminate, grounds, notice, cure period, and exit charges | Record the condition attached to each right. |
| Assignment and Control | Consent requirements, permitted transfers, and change-of-control language | Read exceptions and definitions with the restriction. |
| Money | Fees, currency, payment timing, increases, credits, and minimum commitments | Check order forms and schedules, including what triggers an increase. |
| Risk Allocation | Liability cap, measurement period, carve-outs, indemnities, and insurance | Keep the cap formula and exceptions together. |
| Data and Other Obligations | Security, incident notice, deletion, confidentiality, audit, and exclusivity | Capture the obligated party, trigger, deadline, and exception. |
| Law and Disputes | Governing law, forum, dispute process, and notice requirements | Preserve the named jurisdiction and any staged dispute procedure. |
Keep the source document, page or section, and supporting wording with each value. Track who reviewed it, when, what they corrected, and what remains unresolved. Keep the business contact named in a contract separate from the person your company assigns to manage it.
For automatic renewals, capture the renewal period and the non-renewal mechanics separately. For a liability cap, record the fee base, lookback period, and carve-outs before reducing the answer to an amount.
Abstraction supplies the structured data used in contract intelligence. Commercial leases need a separate field dictionary. Determining which terms apply after several amendments also requires a separate review of the related agreements and their effective dates.
Build a Field Dictionary for Contract Data Extraction
Define each field before reviewers start. The dictionary is your review standard, not a prerequisite for loading documents into Contract Intelligence. GC AI can draft the starting Columns; your team still needs consistent definitions for reviewing the results. For example, “renewal date” could mean the end of the current term, the first day of the next term, or the deadline to decline renewal.
For each field, record:
- Meaning: State the question the field answers, including the relevant party and agreements.
- Format: Choose a date, currency, number, controlled value, or short text. Keep an extracted notice period separate from a calculated deadline.
- Source Rule: Specify the supporting language to capture and how to flag a conflicting amendment or missing schedule. Counsel decides which language controls when priority is unclear.
- Missing-Value Rule: Distinguish “not found,” “not applicable,” “unreadable,” and “conflicting sources.” An empty cell should not hide the difference.
- Review Trigger: Identify the reviewer and the changes or exceptions that require another check.
Keep the dictionary with the output and date or number each revision. If a definition changes, check whether earlier records need another review.
A Repeatable Contract Abstraction Process
Manual abstraction and AI-assisted extraction need the same scope and review rules. In a manual pass, the reviewer reads each source, enters the agreed fields, and records the passages. With AI, counsel reviews candidate values and the evidence behind them.
- Define the document set.
- Set up contract data extraction with GC AI.
- Open the passage and check the value.
- Check the contract family.
- Give the business a reviewed output.
Define the Document Set
Choose the agreements and the business question, then record which documents you included, the cutoff date, and any exclusions. Gather the signed agreements, schedules, exhibits, amendments, order forms, and relevant notices. A filename alone cannot show whether someone signed a document or which terms apply.
Log missing documents and unreadable pages, and identify the fields they could affect. If the main agreement sends payment terms to a missing order form, mark the payment fields “unresolved: order form missing” and assign someone to obtain it. Keep that qualification with the business output. Include unusual language and amended agreements in your test set as well as clean templates.
Set Up Contract Data Extraction With GC AI
Open Contract Intelligence and select Create Vault. Add the documents or connect a supported source, name the Vault, and describe the work you want to do. GC AI proposes Columns with extraction instructions you can adjust. Direct uploads support PDF, Word, and plain text files, with optical character recognition (OCR) for scanned PDFs.
For a renewal review, define separate Columns for the term end, renewal period, and non-renewal notice requirement. Choose a Long Text Column for a conditional notice requirement so the output has room for the condition.
The following is an example prompt to test on your documents. It has not been run in a product session:
Example Prompt
Column: Non-Renewal Notice Requirement
Type: Long Text
Extract the written-notice requirement for declining automatic renewal in this document. Include:
- The party that may give notice.
- The minimum lead time and whether the text states calendar or business days.
- The event or date from which that period runs.
- Whether the clause requires sending, delivery, or receipt.
- Any stated exception or cross-reference to a notices provision.
Preserve conditions and qualifying language. Quote the supporting text and identify its section. If a required detail is absent, say “not stated in this document.” If no non-renewal provision is found, say “not found.”
Do not calculate a calendar deadline or substitute a termination-for-cause notice period.
This prompt keeps the notice requirement separate from the deadline calculation. Use a date field and check the source before calculating the deadline.
Watch the Contract Intelligence demo to see how GC AI turns contract documents into cited values you can review:
Open the Passage and Check the Value
In GC AI, View source opens the document at the supporting passage. You can edit an extracted cell and revert to the scanned value.
Read enough surrounding text to check the party, units, defined terms, conditions, and cross-references. A citation can point to relevant language while the extracted value still omits an exception. For a scanned agreement, compare the result with the page image, especially dates, amounts, and negations.
Follow the notices provision when it supplies the delivery method or receipt rule. Mark each reviewed value accepted, corrected, or unresolved in the review record. Escalate a material ambiguity before someone relies on it.
Check the Contract Family
Keep related agreements in the same Vault. After processing finishes, open Related Documents and check the family links, including suggested relationships you can confirm or dismiss. Then open our Current Terms view to review the in-force terms across that family. Counsel checks the supporting provisions, effective dates, and scope of each change before accepting the result.
A value extracted from the base agreement describes that document. Before using it in an abstract of the current agreement, check what later documents changed. Keep both passages when priority is unclear; a later signature date alone does not settle every conflict.
Give the Business a Reviewed Output
Use the Vault chat to turn the reviewed fields into a working list. For example, ask, “Show the documents with a term-end date on or before December 31, 2026.” Our Contract Intelligence answers across the Vault and filters the View. Check the referenced rows and fields, then reconcile amended agreements with Current Terms before treating the list as a renewal schedule. A term-end list is not a verified notice schedule.
GC AI supports CSV exports of a filtered View, with a limit of 10,000 rows per export. You can also record the reviewing lawyer, review status, and other internal information in manual columns or cell notes and import an existing tracker.
Before sharing the export, confirm that its recipients can trace each material value to the correct document and passage. Supply a linked source index where needed, and keep unresolved fields visible.
Keep internal review records distinct from values extracted from the contract, whether you track them in GC AI or another approved system. Date the exported abstract, list the documents it covers, and flag unresolved fields. Assign someone to calendar or deliver any required notice; exporting a CSV does not complete that work.
Synthetic One-Page Contract Abstract
This fictional example shows a first abstraction pass on a source set with no amendments. The clauses and entries were written for this article. They are not a customer agreement or results from a GC AI session.
Agreement: Cloud Services Agreement between Northstar Labs and Meridian Retail.
Sources: Main agreement and Order Form 1.
Illustrative Review Date: September 12, 2026.
The fictional contract excerpts below supply the values in the abstract:
Illustrative Contract Excerpts
Main agreement, section 1: Northstar Labs is the Provider. Meridian Retail is the Customer.
Main agreement, section 3: The Agreement takes effect on January 1, 2026. The initial term ends on December 31, 2026. It renews for successive one-year periods unless either party's written notice of non-renewal is received at least 60 calendar days before the end of the then-current term. Notices must comply with section 12.
Main agreement, section 12: Notice must be delivered by hand or overnight courier to the recipient's notice address stated in this Agreement. Notice is effective on receipt.
Order Form 1, section 2: The annual subscription fee is USD 120,000.
Main agreement, section 8: Provider will delete Customer Data within 30 days after termination, except for data retained as required by law.
| Field | Illustrative Entry | Teaching-Source Reference |
|---|---|---|
| Parties | Northstar Labs, provider; Meridian Retail, customer | Main agreement, section 1 |
| Effective Date / Initial Term End | 2026-01-01 / 2026-12-31 | Main agreement, section 3 |
| Automatic Renewal | Successive one-year periods | Main agreement, section 3 |
| Non-Renewal Notice | Either party; written notice received at least 60 calendar days before current term end | Main agreement, section 3 |
| Delivery Requirement | Hand delivery or overnight courier to the notice address; effective on receipt | Main agreement, section 12 |
| Annual Subscription Fee | USD 120,000 | Order Form 1, section 2 |
| Data Deletion | Provider deletes Customer Data within 30 days after termination, except for data retained as required by law. | Main agreement, section 8 |
| Open Question | What data may be retained, under which law, and for how long? | Section 8 does not answer these questions. |
For the non-renewal notice field, “60 days” would be incomplete. The source also gives the party, calendar-day unit, receipt requirement, and term-end trigger. Section 12 supplies the delivery methods. Obtain the recipient's notice address before sending notice; these excerpts do not include it.
The internal review record can assign commercial counsel to confirm the notice address, calculate and verify the deadline, and resolve the retention question before the business acts. In a live matter, add the remaining required fields from the dictionary and review all applicable documents. Counsel separately assesses enforceability and legal requirements before acting on extracted language.
Where Manual Abstraction Breaks at Volume
Small inconsistencies accumulate when several reviewers work across unfamiliar agreements. For example, one may capture the renewal term but miss the notice clause. Another might read the master agreement but never open the pricing schedule. A third could treat a blank extraction as proof that the contract contains no restriction.
Have reviewers compare their results on the same sample to find disagreements about field meaning. Record each correction and its reason. Check the source to fix a wrong value; revise the dictionary when reviewers repeatedly disagree about what belongs in a field.
AI-assisted extraction still needs a quality check. Measure the reviewed output and the time required to produce it on your own documents before making a savings or accuracy claim.
When to Use Contract Abstraction Services
Use a manual pass for a small, one-time set your team can review comfortably. Consider our Contract Intelligence when you need to repeat the same extraction across contracts and have counsel available to review the results. Bring in an abstraction service when the deadline or backlog exceeds that review capacity. A service can also work alongside software. Compare the time and cost of producing a reviewed abstract, including corrections and updates after delivery.
Before engaging a service, ask:
- Which fields, document types, and related agreements does the scope include?
- Will each value carry a passage-level reference?
- How will reviewers handle scans, conflicts, and missing documents?
- What sample will establish acceptance criteria, and how will corrections work?
- Who can access the documents, including subcontractors, and what retention terms apply?
- Will the output fit the destination system, with source references preserved?
- Who owns the dictionary, legal interpretation, and updates after handoff?
To evaluate GC AI Contract Intelligence for recurring abstraction work, bring a small, representative set of contracts and an agreed answer key to the demo. Compare the extracted values with your expected answers, open the source passages, and identify any fields that still need a lawyer's decision. Use that review to decide whether the workflow fits your team.
