GC AI Service Pricing Terms
GC AI Service Pricing Terms covering usage limits, capacity, and API access.
These Service Pricing Terms (the “Pricing Page”) are incorporated by reference into any Order Form between Customer and General Counsel AI, Inc. (“GC AI”) that references this Pricing Page. Capitalized terms not defined herein have the meanings given in the applicable Order Form or GC AI Services Agreement.
1. Usage Limits
GC AI may set and enforce ordinary limits on Customer’s use of the Services, including limits on messages, queries, API requests, tokens, seats, or other usage metrics (“Usage Limits”). Customer will not attempt to exceed or circumvent any Usage Limits. If Customer exceeds its Usage Limits, GC AI may require Customer to purchase additional capacity at GC AI's then-current rates. Usage that GC AI reasonably determines to be excessive or abusive may be restricted or suspended immediately upon notice to Customer.
2. Contract Intelligence Capacity
This Section 2 applies only if Customer’s Order Form includes standalone Contract Intelligence Capacity (and not part of the GC AI Platform). Customer has purchased the Contract Intelligence capacity specified in the table in the Order Form (“Contract Intelligence Capacity”). Customer’s usage of the Contract Intelligence Capacity is measured, at any point during each annual period within the Subscription Term, as the greater of: (1) the number of documents stored in a Contract Intelligence vault at that time (“Stored Documents”); and (2) the cumulative number of documents uploaded to, synced with, or otherwise made accessible in a Contract Intelligence vault during that annual period, whether or not such documents remain stored at the end of that period (“Uploaded Documents”).
At the beginning of each annual period, the count of Uploaded Documents resets to zero, while the count of Stored Documents as of the first day of that annual period equals the number of documents stored in the Contract Intelligence vault at the end of the immediately preceding annual period.
3. Platform Capacity
This Section 3 applies only if Customer’s Order Form includes GC AI Platform access including Contract Intelligence and Agents. Customer has purchased the Platform capacity specified in the table in the Order Form (“Platform Capacity”). Platform Capacity is measured in Managed Documents. “Managed Documents” means all documents that are (1) uploaded to, synced with, or otherwise made accessible in Contract Intelligence; (2) submitted through intake or an agent; or (3) generated by agents. Documents uploaded to or generated in chat under a seat-based subscription are not Managed Documents unless they are also added to Contract Intelligence or Agents.
Customer’s usage during each annual period within the Subscription Term equals the number of Managed Documents stored at the start of that annual period, plus the cumulative number of Managed Documents added during that annual period. This count includes every Managed Document added, whether or not it remains stored at the end of that period. Deleting, removing, unsyncing, or otherwise disconnecting a Managed Document does not reduce Customer’s usage during each annual period of the Subscription Term.
At the beginning of each annual period, the count of Managed Documents as of the first day of that annual period resets to the number of Managed Documents then stored in a Contract Intelligence vault at the end of the immediately preceding annual period. Unused Platform Capacity expires at the end of each annual period and does not carry forward.
4. API Access
This Section 4 applies only if Customer’s Order Form includes an API package. Customer has purchased the API package specified in the table in the Order Form (the “API Package”). The API Package lets Customer access the Services programmatically through GC AI’s application programming interface or Model Context Protocol (MCP) server (together, the “API”), up to the annual usage capacity associated with that API Package (“API Capacity”). GC AI measures API usage based on the volume and type of operations processed through the API, including chats, playbook runs, and other requests, using GC AI’s then-current metering methodology. GC AI will report Customer’s API usage as a percentage of API Capacity through the Platform. Unused API Capacity expires at the end of each annual period within the Subscription Term and does not carry forward.
Customer will use the API only for the use cases and with the systems described in the applicable Order Form or otherwise approved by GC AI in writing.
5. Usage Alerts and Reporting
GC AI will provide notifications to Customer’s designated administrators (including via the Platform). GC AI will make usage reports available to Customer through the Platform, including consumption against capacity, overage status, and usage by metered Service category. Notifications and reports are provided as a convenience. Failure to receive or review a notification or report does not relieve Customer of its payment obligations for usage incurred.
6. Capacity Thresholds
“Capacity” means the Contract Intelligence Capacity, Platform Capacity, or API Capacity, as applicable. For each Capacity, “Grace Capacity” means one hundred ten percent (110%) of that Capacity, and “Maximum Capacity” means two hundred percent (200%) of that Capacity. Unused Capacity expires at the end of each annual period within the Subscription Term and does not carry forward. Any action GC AI takes under this Section 6 when Customer’s usage reaches the Maximum Capacity requires reasonable advance notice to Customer (including through in-application notifications).
If Customer’s usage exceeds the Grace Capacity, Customer may continue using the Services, and GC AI will notify Customer, and Customer will purchase additional Capacity within thirty (30) days of that notice. If Customer’s usage reaches the Maximum Capacity, GC AI may prevent Customer from adding to such Capacity until Customer purchases additional Capacity. Customer will keep access to its existing Capacity and all other unimpacted Services.
7. Precedence
In the event of a conflict between the applicable Order Form and this Pricing Page, the terms of the Order Form govern. In the event of a conflict between this Pricing Page and the Services Agreement, this Pricing Page governs with respect to pricing and capacity mechanics only. All other terms of the Services Agreement remain in full force and effect.
8. Modifications
GC AI may update this Pricing Page by publishing a new version at gc.ai/pricing-terms. The version referenced in Customer's executed Order Form governs for the duration of that Order Form's Subscription Term.
